§ 1 Scope
These General Terms and Conditions apply to all contracts between 23SpotsGroup (the “Provider”) and its customers for products (e.g. the book “How to Rock Your Company like Ants”) and services of Ants.Management. Deviating terms of the customer apply only if the Provider expressly confirms them in writing.
§ 2 Offer and conclusion of contract
Offers are non-binding. Verbal agreements and promises by staff bind the Provider only after written confirmation. In the online shop, the contract is concluded as soon as the Provider confirms the order by email or ships the goods.
§ 3 Prices and payment
The prices stated at the time of order or order confirmation apply unless agreed otherwise in writing. Offer prices expire when new offers are issued or when the stated validity ends. Unless indicated otherwise, prices exclude shipping and packaging costs, which are shown before the order is completed. The available payment methods can be found on the “Shipping & payment” page and during the ordering process. For consulting and academy services, the payment terms agreed in the offer apply.
§ 4 Delivery
Delivery is made to the address given by the customer. Delivered goods must be checked immediately for completeness and transport damage; complaints must be reported to the Provider promptly in text form.
§ 5 Retention of title
Delivered goods remain the property of the Provider until paid in full.
§ 6 Right of withdrawal and warranty
Consumers have a right of withdrawal in accordance with the separate withdrawal notice. Statutory warranty rights apply.
§ 7 Consulting, workshop and academy services
The nature, scope, dates and remuneration of consulting, workshop, training and certification services are set out in the respective offer or contract. The Provider owes the careful performance of the agreed service, not a specific economic result. Use of the AntsManagement method, its tools and trademarks beyond the rights granted by contract – in particular for licence and partner programmes – requires a separate licence agreement.
§ 8 Copyright and trademarks
All content, materials, methods, tools and trademarks of Ants.Management are protected by copyright and trademark law. Reproduction, disclosure and adaptation require the Provider’s prior written consent.
§ 9 Liability
The Provider is liable without limitation for intent and gross negligence and for injury to life, body or health. In cases of slight negligence, the Provider is liable only for breach of essential contractual obligations and limited to the foreseeable damage typical for the contract. Liability under the Product Liability Act remains unaffected. The Provider is not liable for restrictions due to force majeure or other unforeseeable events.
§ 10 Jurisdiction, governing law, final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods; towards consumers this choice of law applies only insofar as it does not deprive them of mandatory consumer protection provisions of their country of residence. If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Horb am Neckar. Should individual provisions be invalid, the remainder of the contract remains effective.
